1. Introduction

These Terms & Conditions (“Terms”) govern the access to and use of the website, partner portal, and API services provided by JR Holdings Inc. (“AsiaRooms.ai”, “we”, “our”, or “us”). By using our services, you agree to be legally bound by these Terms. If you do not agree, you must refrain from accessing or using our services.

2. Definitions

For the purpose of these Terms:

  • “Partner” means any travel agency, wholesaler, tour operator, OTA, or other business entity using our services.
  • “Services” means access to hotel inventory, booking engines, APIs, partner portals, or other distribution tools provided by AsiaRooms.ai.
  • “Booking” means a confirmed reservation of hotel accommodation through our systems.
  • “Supplier” refers to the hotels or accommodation providers contracted by AsiaRooms.ai.

3. Scope of Services

AsiaRooms.ai provides B2B hotel distribution solutions, including:

  • Access to contracted hotel inventory in Asia;
  • API connectivity for real-time rates and availability;
  • A partner portal for booking and account management;
  • Multi-currency settlement and reporting tools.

Services may vary by market, and availability is subject to change without prior notice.

4. Partner Obligations

Partners using our services agree to:

  • Provide accurate company and booking information at all times.
  • Use the Services only for lawful business purposes and not for resale outside authorized channels.
  • Protect account credentials and prevent unauthorized system access.
  • Comply with applicable laws and regulations in their respective markets.

5. Bookings, Payments, and Rates

  • All bookings are subject to confirmation by the relevant Supplier.
  • Rates may fluctuate due to currency exchange, market demand, or system errors. In such cases, AsiaRooms.ai reserves the right to correct errors without liability.
  • Payment terms and settlement methods (KRW, VND, USD, or other currencies) are determined by the Partner’s contract with JR Holdings Inc.
  • Taxes, fees, and service charges may be added as applicable by law or Supplier policy.

6. Cancellations and Amendments

  • Cancellation and modification policies are determined by each Supplier.
  • Refunds, if applicable, will follow the rules of the Supplier.
  • AsiaRooms.ai is not liable for penalties or losses resulting from cancellations, no-shows, or amendments requested by the Partner or end customer.

7. Limitation of Liability

  • AsiaRooms.ai acts solely as a facilitator between Partners and Suppliers.
  • We are not responsible for the acts, omissions, or failures of hotels, third-party providers, or external systems.
  • Our maximum liability, if any, is limited to the value of the booking in dispute.

8. Force Majeure

We shall not be held liable for delays, failures, or cancellations caused by circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government regulations, strikes, acts of terrorism, or system outages.

9. Data Protection and Privacy

  • We collect and process company and contact information as necessary to provide Services.
  • Data may be shared with Suppliers only for the purpose of fulfilling bookings.
  • We comply with applicable data protection laws, including Korean law and, where applicable, GDPR.

10. Intellectual Property

All content, trademarks, software, and data provided by AsiaRooms.ai remain the property of JR Holdings Inc. Partners may not copy, reproduce, or distribute such materials without prior written consent.

11. Indemnification

Partners agree to indemnify and hold harmless JR Holdings Inc. from any claims, damages, or losses arising out of misuse of the Services, violation of laws, or breach of these Terms.

12. Termination

We reserve the right to suspend or terminate access to Services at any time in case of:

  • Breach of these Terms,
  • Misuse of Services, or
  • Fraudulent or unlawful activity.

Termination does not release the Partner from any outstanding payment obligations.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes shall be subject to the exclusive jurisdiction of the courts of Seoul, Korea.
